LICENSING AND TRANSACTIONS COUNSEL Broadcom Legal Group Broadcom Corporation is a global leader in semiconductors for wired and wireless communications. We are seeking a Licensing & Transactions Counsel Attorney with a demonstrated record of success and career progression in a large, fast paced, high tech work environment. The attorney will report to a senior transactions attorney in our Irvine office and be responsible for a broad range of technology transactions and operational issues, and for counseling management and employees on a wide variety of issues. Responsibilities include: • Collaborating with business teams to facilitate the achievement of overall business objectives by understanding primary commercial and IP requirements and ensuring that transactional terms are consistent with such requirements as well as management priorities and company policies; • Negotiating, drafting, and overseeing technology transaction agreements, such as technology licensing, ASIC development, joint development, customer supply, early access, evaluation, and beta-testing agreements; • Preparation of standard templates for recurring commercial transactions and to address new issues in the law and/or new areas of business for the company; • Forge relationships with customers and vendors while representing the company in the consummation of a deal; • Advising business clients and ensuring best practices in diverse legal areas such as antitrust, open source software, alternative dispute resolution procedures, international commercial law, trade secret law, UCC and contract law, and others; and • Coordinate internal engineering, marketing, sales and finance departments as necessary to address legal issues as they arise in the course of commercial transactions. |
| Job Requirements : |
Required Experience: 3 to 8 years of technology and commercial transactions experience as an attorney at either a technology company or a top tier law firm. This position requires a breadth of knowledge and ability to identify and handle issues in many disciplines, with particular expertise in intellectual property and commercial law. Substantial hands-on experience with technology transactions and the related intellectual property issues is a prerequisite. Experience with standards and open source-related legal issues a plus. The candidate must possess a JD from a top tier accredited law school and be a member in good standing of the bar. Membership in the State Bar of California is preferred. Undergraduate degree in engineering or computer science is also a plus. The position entails working in a fast-paced environment with savvy and demanding clients, high standards and heavy workload. Qualified candidates must possess exceptional analytical and communication skills, be capable of providing sound, practical advice in response to complex and rapidly changing conditions, and be able to make a positive contribution to a very collegial working environment. This attorney will have substantial autonomy and therefore must be able to work in a self-sufficient manner with clients, but also frequently will need to work collaboratively with other team members across disciplines. |
